Terms & Conditions — Assignment Adda

1.1 Preamble

These Terms & Conditions ("Terms") govern Your access to and use of the website, mobile applications, software, APIs, services, content, and offerings provided by Assignment Adda (the "Platform") operated by the legal entity referenced by The Company (collectively "The Company", "Service Provider", "we", "us", or "our").

1.2 Scope

These Terms apply to all Users, including students, tutors, visitors, contractors, affiliates and third parties using the Platform. These Terms incorporate by reference all policies posted on the Platform, including but not limited to the Privacy Policy, Refund Policy, Cookie Policy, Content Policy, Acceptable Use Policy, and any acceptable use or community guidelines.

1.3 Hierarchy

In case of conflict between these Terms and any other materials, the hierarchy shall be: (1) legally executed agreement between The Company and a User; (2) these Terms; (3) incorporated policies; (4) public FAQs and help center articles. No oral statements shall modify these Terms unless reduced to a written amendment signed by an authorized officer of The Company.

1.4 Registration & Identification

The Company is operating under the trade name Assignment Adda. Registered business name and office address are available to verified counterparties and official authorities upon request to legal@assignmentadda.com. The Company may require proof of identity, KYC documentation, or corporate verification prior to entering into sensitive agreements or accepting formal legal notices.

1.5 Non-Applicability

Any terms of purchase orders, specifications or other documents submitted by a User that conflict with these Terms shall be of no force or effect unless expressly agreed in writing by an authorized Company representative.

2.1 Defined Terms

1. "Account" — a User account created on the Platform.
2. "Content" — any material (text, images, audio, video, code, UI, educational materials) uploaded, generated, or displayed on the Platform.
3. "Personal Data" — information relating to an identified or identifiable natural person.
4. "Confidential Information" — non-public information exchanged under confidence.
5. "Infringing Activity" — any activity that violates copyrights, trademarks, trade secrets, privacy, security or these Terms.
6. "Services" — the educational tutoring, mentoring, review, coaching, and related services provided by or through the Platform.

2.2 Interpretation

Headings are for reference only. The singular includes plural and vice versa. "Including" means "including without limitation". References to statutes include enacted or statutory replacements and subordinate legislation.

3.1 Age & Legal Capacity

Only individuals of at least eighteen (18) years of age with capacity to contract may register as Users. Minors may use the Platform if the account is created and supervised by a parent or legal guardian who accepts these Terms and accepts responsibility for the minor's activity.

3.2 Binding Acceptance

By using or accessing the Platform, You accept and agree to these Terms. If You are bound by these Terms on behalf of a corporate or organizational entity, You represent and warrant that You have full authority to bind that entity and its affiliates.

3.3 No Unlawful Use

You must not use the Platform for any purpose prohibited by applicable law, including assisting others to commit academic fraud, identity theft, hacking, exploitation of minors, or other illegal acts.

4.1 Nature of Services

The Company's Services are strictly educational: tutoring, mentoring, concept explanations, review & feedback, project guidance, and similar learning assistance. All materials and interactions are provided to facilitate Users' independent learning and skill development.

4.2 Examples of Permitted Use

1. One-on-one tutoring sessions to explain algorithms, concepts, experimental design, and code architecture.
2. Providing sample code snippets as learning examples with comments and explanations.
3. Reviewing and providing feedback on drafts so Users can revise and submit their own work.

4.3 Prohibited Deliverables

Examples of prohibited deliverables include: finished assignment files submitted directly to an institution, complete essays or reports intended to be submitted verbatim, turnkey coding solutions delivered for submission without User modification.

5.1 Core Obligations

Users shall: (a) comply with these Terms and all applicable laws; (b) ensure credentials and access are secured; (c) provide accurate information; (d) use materials for personal learning only; (e) adhere to the academic integrity policies of their institutions.

5.2 Prohibited Activities — Detailed List

Without limitation, Users shall not engage in:

1. Ghostwriting & Submission: Requesting or accepting final submissions for direct institutional use.
2. Content Theft: Copying, scraping, harvesting or extracting Content for redistribution, training models, or commercial reuse.
3. Impersonation: Creating accounts, domain names, social media pages or messages impersonating The Company or its staff.
4. Reverse Engineering: Reverse engineering or attempting to access source code, machine learning models, or non-public APIs.
5. System Attacks: Attempted denial-of-service, brute-force, SQL injection, cross-site scripting, privilege escalation, or any penetration attempts.
6. Commercial Exploitation: Reselling our Content, soliciting tutors for third-party services, or charging third parties using access to our Platform.
7. Harassment/Defamation: Posting knowingly false or malicious content about The Company, staff or tutors.
8. Unauthorized Access: Sharing or using another User's credentials, creating multiple accounts to circumvent restrictions or limits.
9. AI Model Training: Using Platform Content to train models, create derivative models, or include in model training datasets without express written permission.

5.3 Examples & Illustrations

The Company will publish non-exhaustive examples of permitted and prohibited activities in the Acceptable Use Policy; however, lack of example does not imply permissibility.

6.1 Account Responsibility

Users are solely responsible for account security, password confidentiality and all actions originating from their accounts. The Company is not liable for unauthorized access unless caused by The Company's gross negligence.

6.2 KYC & Verification

The Company may require identity verification or KYC documentation for higher-risk activities, corporate accounts, payment processing, dispute resolution, or legal compliance. Refusal to provide requested documentation may lead to suspension or termination.

6.3 Account Suspension & Lockouts

The Company reserves the right to temporarily suspend or permanently terminate accounts for suspected fraud, security incidents, repeated violations, or KYC failures. In emergencies, The Company may act without prior notice.

6.4 Multi-Factor Authentication

The Company recommends, and may require in certain cases, multi-factor authentication (MFA) to protect accounts. Users are encouraged to enable all available security features.

7.1 Fees & Currency

Fees are quoted in the currency shown at checkout. Currency conversions are the User's responsibility and the final amount charged at checkout (or as shown on the payment processor) is binding.

7.2 Payment Methods & Processors

The Company uses third-party payment processors (PCI-DSS compliant). The Company does not store full payment card details. Users authorize the Company to charge the provided payment method.

7.3 Billing Disputes

Disputes regarding charges must be raised within 30 days of the transaction. The Company will investigate and, if validated, issue refunds or adjustments in accordance with the Refund Policy.

7.4 Taxes & Withholding

Users are responsible for any taxes, duties or withholdings imposed by their jurisdiction. For Indian customers, GST and other statutory levies will be applied where required by law.

8.1 Refund Principles

Refunds are limited and provided in accordance with the posted Refund Policy. Refund eligibility is evaluated based on session attendance, tutor performance relative to stated objectives, and reasonableness.

8.2 Cancellation

Users may cancel scheduled sessions subject to time-based cancellation windows. Cancellation fees may apply where applicable and disclosed at booking.

8.3 Abuse of Refund Mechanism

Repeated, malicious, or fraudulent refund requests are abuse and may result in account termination, denial of refunds, and recovery actions.

8.4 Dispute Escalation

If refund disputes cannot be resolved through support, they will proceed to the dispute resolution process set out herein.

9.1 Ownership & Reservation of Rights

All rights, title and interest in and to the Platform's Content, trademarks, trade dress, logos, software (in object and source form), data models, processes, workflows, educational materials, and documentation are reserved by The Company or its licensors. No ownership or title to intellectual property is transferred to Users except as expressly set out in these Terms.

9.2 License Grant to Users

Subject to compliance with these Terms and full payment of applicable fees, The Company grants Users a limited, revocable, non-transferable, non-sublicensable license to access and use the educational Content for personal, non-commercial learning only.

9.3 Restrictive Covenants & Use Restrictions

Users may not reproduce, distribute, publicly display, create derivative works from, modify, sell, license, or otherwise exploit the Content except as expressly permitted by The Company in writing.

9.4 Copyright Infringement & DMCA

The Company respects intellectual property rights. To report alleged infringement, provide a written notice to legal@assignmentadda.com with the information required by applicable takedown regimes (e.g., DMCA). The Company follows a repeat infringer policy and will remove or disable access to allegedly infringing content where appropriate.

9.5 Moral Rights & Attribution

Where applicable, Users shall not assert moral rights against The Company and agree to reasonable attribution practices specified by The Company when using permitted materials.

9.6 Infringement Remedies

In case of infringement, The Company may seek injunctive relief, statutory and actual damages, restitution, and recovery of legal costs and enforcement expenses.

10.1 Trademark Ownership

All trademarks, service marks, brand names, logos and trade dress displayed on the Platform are the property of The Company or third-party rights holders and may not be used without express prior written permission.

10.2 Unauthorized Use

Any unauthorized use of The Company's marks is strictly prohibited and actionable. The Company may seek orders for disgorgement of profits, corrective advertising, statutory damages and criminal penalties where available.

11.1 Notice Requirements

To report alleged copyright infringement, provide a written notice to the Company's designated agent (legal@assignmentadda.com) including:

1. A physical or electronic signature of a person authorized to act for the copyright owner;
2. Identification of the copyrighted work claimed to have been infringed;
3. Identification of the infringing material and its location on the Platform;
4. Contact information for the complaining party;
5. A statement that the complainant believes in good faith that use is unauthorized; and
6. A statement under penalty of perjury that the information in the notice is accurate.

11.2 Counter-Notice

If content was removed in response to a notice, an alleged infringer may submit a counter-notice containing the required elements under applicable law. The Company will follow applicable law for handling counter-notices, including forwarding the counter-notice to the claimant.

11.3 International Regimes

The Company will also respond to takedown notices under international laws, local procedures and bilateral treaties where applicable.

12.1 Strict Prohibition

Automated scraping, crawling, harvesting, or systematic extraction of data from the Platform is strictly prohibited without express written consent from The Company. This includes the use of headless browsers, bots, automated scripts, or APIs that bypass rate limits.

12.2 Technical Controls

The Company deploys technical protections including but not limited to rate limiting, IP reputation blocking, bot fingerprinting, CAPTCHAs, Web Application Firewalls (WAF), and anomaly detection. Circumventing such controls is an aggravating factor in enforcement proceedings.

12.3 Remedies for Automated Abuse

Remedial measures include immediate blocking, preservation of logs, forensic investigation, civil damages, criminal complaints and pursuit of injunctive relief. The Company reserves the right to seek statutory and punitive damages to the fullest extent permitted by law.

13.1 Prohibition

Creating websites, accounts, email addresses, social pages, or communications that impersonate The Company, its employees, tutors or affiliates is prohibited.

13.2 Takedown & Enforcement

The Company will immediately seek removal of impersonating content and pursue civil or criminal remedies, including under the Information Technology Act 2000 (India) and applicable penal code provisions.

13.3 Fraud Detection & Reporting

The Company may report fraudulent activity to domain registrars, hosting providers, payment processors, and law enforcement. The Company will provide evidence and cooperate with investigations.

14.1 Prohibited Content

Any false, misleading, malicious or defamatory statements about The Company, its staff, tutors or partners are strictly prohibited.

14.2 Response Protocol

Upon notice of defamatory content, The Company will: (a) seek immediate removal/takedown via platform procedures; (b) preserve all evidence (screenshots, logs, communication); (c) attempt to contact the poster and request retraction/correction; (d) pursue civil and criminal remedies where appropriate.

14.3 Mitigation & Remediation

The Company reserves the right to undertake remediation actions (including paid PR campaigns) and to recover the cost of such remediation from the perpetrator as damages.

15.1 Prohibited Conduct

Users and third parties shall not use information, direct messages, contact lists, or privileged access obtained through the Platform to solicit, poach, or divert The Company's tutors, employees, or clients for commercial gain.

15.2 Remedies & Damages

In the event of client theft or unfair competition, The Company may seek injunctive relief, compensatory damages, lost profits, exemplary damages, and recovery of attorneys' fees and enforcement costs.

15.3 Non-Solicitation

The Company may require tutors, contractors and certain Users to accept non-solicitation covenants as a condition of service. Violations of such covenants will entitle The Company to equitable relief and damages.

16.1 Privacy Policy

The Company's Privacy Policy (posted on the Platform) explains collection, processing, storage and sharing of Personal Data. Users must review and accept the Privacy Policy prior to using the Services.

16.2 GDPR Compliance

Where GDPR applies, Users have rights to access, rectification, erasure, restriction, portability, and objection. Data Subject Requests may be made to privacy@assignmentadda.com and will be processed according to law.

16.3 International Transfers

The Company may transfer Personal Data to processors and affiliates outside the User's jurisdiction. Where required, The Company will use appropriate safeguards, such as Standard Contractual Clauses (SCCs) or other lawful mechanisms.

16.4 Data Retention

Personal Data is retained only as necessary for business purposes, legal compliance, dispute resolution, or as specified in the Privacy Policy.

17.1 Security Controls

The Company maintains technical and organizational measures to protect data, including encryption, access controls, monitoring, WAFs and security reviews.

17.2 Incident Response

In the event of a security incident, The Company will execute its incident response plan: containment, eradication, recovery, root cause analysis, user notification (where required) and regulator notifications as mandated by law.

17.3 Notification Timing

The Company will notify affected Users and authorities without undue delay and, where legally required, within the statutory timelines applicable in the jurisdiction of the affected Users.

18.1 Preservation

Upon suspicion of wrongdoing, The Company will preserve relevant records including but not limited to server logs, transaction records, chats, uploads, IP logs, timestamps, and backups.

18.2 Forensic Investigations

The Company may engage third-party forensic investigators. All costs of investigation, technical analysis, and remediation caused by a User's breach will be recoverable from the responsible party.

18.3 Chain of Custody

The Company will maintain an auditable chain of custody document for evidence preserved and disclose it to law enforcement or arbitral tribunals as appropriate.

19.1 Monetary Damages Are Inadequate

Users acknowledge that breaches such as impersonation, mass scraping, or data leakage can cause irreparable harm for which monetary damages are insufficient.

19.2 Injunctive Relief

The Company may seek injunctive relief in courts of competent jurisdiction (including ex parte where available) to prevent or limit harm. Users consent to the pursuit of such relief.

19.3 Extraterritorial Enforcement

The Company reserves the right to seek relief in jurisdictions outside India where violations impact The Company's operations, IP, or Users internationally.

20.1 Recoverable Costs

The Company may recover costs for: forensic investigations, remediation, legal action, reputational mitigation, notifications and administrative overheads from the violating party.

20.2 Interest & Collection

Recovered amounts may accrue interest at the statutory rate and be collected via legal processes including lien, attachment or seizure where lawful.

21.1 Capped Liability

To the maximum extent permitted by law, The Company's aggregate liability arising from or related to these Terms is limited to the total fees paid to The Company by the User in the 12 months preceding the claim.

21.2 Exclusion of Consequential Damages

The Company is not liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including lost profits, loss of data, or loss of business opportunity.

21.3 Carve-Outs

Nothing in this Article shall exclude or limit liability for death or personal injury caused by the Company's gross negligence or willful misconduct, or for fraudulent misrepresentation where prohibited by law.

22.1 Indemnity

Users shall indemnify and hold harmless The Company and its officers, directors, employees and agents against claims arising from User's violation of these Terms, misuse of the Platform, or infringement of third-party rights.

22.2 Defense

The Company may assume control of the defense and settlement of any claim subject to indemnity; the User shall cooperate reasonably with The Company's defense.

23.1 Grounds for Suspension

The Company may suspend access for suspected fraud, breach, security incidents, or legal requests. Suspension may be temporary or permanent at The Company's discretion.

23.2 Termination & Effect

Upon termination, User access ceases. The Company may delete or retain data according to its retention policies and legal obligations. Termination does not release Users from payment obligations or liability for past breaches.

23.3 Post-Termination Remedies

The Company may pursue injunctive relief, damages, and criminal complaints after termination against the offending User.

24.1 Good-Faith Negotiation

Parties shall first attempt to resolve disputes amicably by contacting support@assignmentadda.com within thirty (30) days.

24.2 Binding Arbitration

Unresolved disputes shall be referred to final and binding arbitration in Bangalore, India, under the Arbitration and Conciliation Act, 1996. The arbitrator's award shall be final.

24.3 Court Remedies

Notwithstanding arbitration, either party may seek interim or injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

24.4 Governing Law

Indian law governs these Terms. Courts in Bangalore, Karnataka have jurisdiction for matters not subject to arbitration.

25.1 Legal Notices

Legal notices must be sent to legal@assignmentadda.com. Notices sent by email are effective upon receipt. For service of process, the Company will provide the registered office address to verified requestors.

25.2 Takedown Cooperation

The Company will cooperate with rights holders and law enforcement in takedown and enforcement actions and may disclose User data in response to lawful process.

26.1 Assignment by Company

The Company may assign these Terms and transfer assets in connection with corporate transactions. Users will be notified where required by law.

26.2 No Delegation by Users

Users may not assign or transfer rights or obligations without The Company's prior written consent.

27.1 Severability

If any provision is found unenforceable, it will be modified to the minimum extent necessary; remaining provisions remain in full force.

27.2 Waiver

Delay or failure to enforce a right is not a waiver. A written waiver is required to waive material provisions.

27.3 Amendments

The Company may amend these Terms; material changes will be notified to Users by email or site notice. Continued use after notice constitutes acceptance.

28.1 Cookies

The Platform uses cookies and similar technologies for functionality and analytics as described in the Privacy Policy. Users may manage cookie settings via the Platform's controls or browser settings.

28.2 Analytics

The Company may collect aggregated usage data to improve services. Aggregated anonymized data remains The Company's property.

29.1 Third-Party Integrations

The Platform may integrate with third-party services (payment processors, analytics, cloud providers). The Company is not responsible for third-party privacy practices or content.

29.2 Links to Other Sites

Links to third-party sites do not imply endorsement. Use of such sites is at User's risk.

30.1 Advertisement Labelling

Paid promotions shall be labeled in accordance with applicable advertising regulations. Testimonials used on the Platform are real and, where required, accompanied by consent from the testimonial provider.

30.2 No Guarantee of Endorsement

The Company does not endorse third-party advertisers and is not responsible for transactions between Users and advertisers.

31.1 Aggregated Data

The Company may use aggregated, de-identified data for benchmarking, product improvement and commercial purposes. Aggregated data is not Personal Data and remains The Company's property.

31.2 Research

The Company may publish research, case studies or white papers containing anonymized data derived from Platform usage subject to consent where applicable.

32.1 API Terms

APIs, developer keys and developer programs are subject to separate agreements and usage limits. API keys are confidential and must not be shared or embedded in public repositories.

32.2 Revocation

The Company may revoke or suspend API access for misuse or terms violation without prior notice.

33.1 Use by Company

The Company may use Content and interaction data to improve services, subject to privacy constraints and rights management.

33.2 Third-Party Model Training

Third parties may not use Platform Content to train machine learning models or derive datasets for commercial model training without express written permission. Unauthorized model training constitutes infringement and will result in enforcement actions.

33.3 Attribution & Licensing

Where Content is licensed for research or model training, terms will be provided in a separate license specifying permitted uses, attribution, and liability.

34.1 Legal Compliance

Users must comply with all applicable export, import, sanctions and anti-money laundering laws. The Company may refuse service to entities or persons subject to sanctions.

34.2 Cooperation with Authorities

The Company will cooperate with lawful requests by government entities and regulatory authorities and will disclose data as required by law.

35.1 Logs & Retention

The Company retains logs and records for a commercially reasonable period and as required by law. Retention durations are specified in the Privacy Policy and internal retention schedules.

35.2 Audits

The Company may audit accounts for compliance. Users must reasonably cooperate with lawful audits and investigations.

36.1 Insurance

The Company may carry insurance for liabilities and risks. Insurance does not substitute or limit Users' obligations or liabilities under these Terms.

36.2 User Risk

Users remain responsible for their own risk mitigations including backups, data security and compliance with institutional rules.

37.1 Cooperation

The Company will cooperate with law enforcement and judicial authorities. The Company may disclose User data pursuant to valid legal process.

37.2 Notification

The Company will attempt to provide notice to Users of law enforcement requests unless legally prohibited.

38.1 Age Restrictions

The Platform is not intended for children under thirteen (13). Minors require parental consent and adult account holders are responsible for minors' activity on the Platform.

39.1 Beta Terms

Beta or experimental features are provided "AS IS" and may not be covered by SLAs. Feedback may be used by The Company without compensation.

40.1 Language

Translations of these Terms are for convenience only. The English version governs in case of discrepancy.

41.1 Integration

These Terms and incorporated policies represent the entire agreement between You and The Company regarding the Platform.

42.1 Amendments

The Company may amend these Terms and will notify Users of material changes. Continued use after notice implies acceptance.

42.2 Waiver

Failure to exercise rights is not a waiver; waivers must be in writing.

43.1 Survival Clauses

Provisions regarding IP, indemnity, dispute resolution, preservation and liability survive termination.

The Company is entitled to recover reasonable attorneys' fees, enforcement costs, forensic fees and expenses incurred in enforcing these Terms against a violating party.

47.1 Change of Control

In the event of sale, merger or acquisition, The Company may transfer rights and obligations under these Terms. Users will be notified where required.

48.1 Acknowledgement

Users acknowledge they have read these Terms and had opportunity to obtain independent legal advice.

49.1 Incorporation

Privacy Policy, Refund Policy, Cookie Policy and other posted policies are incorporated into these Terms by reference.

50.1 Cooperation

The Company complies with lawful government and regulatory requests and will assist in investigations concerning illegal activity, fraud, IP theft, or threats to public safety.
